1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the IH HUB web application (collectively, “IH HUB” or “Application”), owned and operated by Iron Horse Energy Services, including Iron Horse Coiled Tubing Inc. (collectively, “Iron Horse Energy Services,” “we,” “us,” or “our”), and accessible through any domain or subdomain ending in ihes.app (e.g., *.ihes.app). By accessing or using IH HUB, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use IH HUB.

2. Scope and Purpose

IH HUB is an internal application intended solely for authorized employees, contractors, and personnel approved by Iron Horse Energy Services. It is not intended for public use. Any unauthorized access or use is strictly prohibited and may result in disciplinary or legal action.

3. Eligibility and Access

• Authorized Users: Only users granted explicit permission by Iron Horse Energy Services may access the Application.
• User Accounts: You may be provided with login credentials or other authentication methods. You must maintain the confidentiality of your credentials and are responsible for all activities that occur under your account.

4. User Conduct

By using IH HUB, you agree not to engage in activities that:

• Violate any applicable laws, regulations, or company policies.
• Infringe the intellectual property, privacy, or other rights of any person or entity.
• Introduce or propagate malware, viruses, or other harmful code.
• Interfere with the security or proper working of the Application or related systems.
• Transmit any content that is unlawful, threatening, defamatory, obscene, harassing, or otherwise objectionable.
• Attempt to gain unauthorized access to accounts, data, or systems.

5. Intellectual Property

• Ownership: Iron Horse Energy Services retains all rights, title, and interest in the Application, including but not limited to its code, design, logos, trademarks, service marks, and other intellectual property.
• Limited License: Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to use IH HUB solely for authorized internal business purposes. No other rights are granted.

6. Data and Privacy

Your use of IH HUB is subject to our Privacy Policy, which describes how we collect, use, store, and share your personal information. By using IH HUB, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. Please review the Privacy Policy carefully.

7. Confidentiality

As IH HUB may contain proprietary and sensitive information related to Iron Horse Energy Services’ operations and business, you agree to maintain the confidentiality of such information. You must not disclose any confidential or proprietary information obtained through IH HUB to any third party unless explicitly authorized in writing by Iron Horse Energy Services.

8. Security and Monitoring

We may monitor, record, and audit use of IH HUB to ensure compliance with these Terms, investigate potential misconduct, and improve the Application’s performance and security. By using IH HUB, you consent to such monitoring. Unauthorized access or misuse of the Application may be subject to disciplinary action and/or legal penalties.

9. Updates and Modifications

• Application Updates: We reserve the right to modify, update, suspend, or discontinue any part of IH HUB at any time without prior notice.
• Terms Revisions: We may update these Terms periodically. We will post the updated Terms within IH HUB, and your continued use of IH HUB after the posting of revised Terms constitutes your acceptance.

10. Disclaimers

• No Warranties: IH HUB is provided “as is” and “as available” without warranty of any kind, whether express or implied. We do not warrant that the Application will be uninterrupted, error-free, secure, or that it will meet your requirements.
• Reliance on Content: Any information or data presented in IH HUB is for internal use only and may be subject to change. You assume all risk for any reliance on the information provided.

11. Limitation of Liability

To the maximum extent permitted by law, Iron Horse Energy Services and its affiliates, officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or related to your use of, or inability to use, IH HUB. This limitation applies even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold harmless Iron Horse Energy Services, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to your breach of these Terms or your misuse of IH HUB.

13. Termination

We may suspend or terminate your access to IH HUB at any time, for any reason, including if we believe you have violated these Terms. Upon termination, you must immediately cease using IH HUB, and any rights granted to you under these Terms will end.

14. Governing Law and Jurisdiction

These Terms, and any disputes arising out of or relating to these Terms, shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. You agree to submit to the exclusive jurisdiction of the courts located in Alberta, Canada for the resolution of any disputes.

15. Severability

If any provision of these Terms is deemed invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, along with our Privacy Policy and any other documents referenced herein, constitute the entire agreement between you and Iron Horse Energy Services regarding your use of IH HUB, superseding any prior agreements.
